1. Scope

These Terms of Use govern the use of the Company Contacts CRM application and related websites and services (the "Service") provided by timeghost Solutions GmbH, Reichenaustr. 11a, 78467 Konstanz, Germany ("Provider"). The Service is offered exclusively to businesses (B2B); it is not directed at consumers.

2. Microsoft 365 requirement and registration

Use of the Service requires a valid Microsoft 365 account and authentication via Microsoft (Azure AD Single Sign-On). You are responsible for keeping your access credentials confidential and for all activity under your account. Your administrator may manage permissions and workspace settings on your organisation's behalf.

3. Right of use (licence)

The Provider grants the customer a non-exclusive, non-transferable right to use the Service for the duration of the contract for the customer's internal business purposes, within the scope of the booked plan.

4. Acceptable use

You agree not to: (a) use the Service unlawfully or in breach of third-party rights; (b) process data without the required legal basis or consent (e.g. when importing or scanning contacts); (c) send unsolicited or unlawful emails via the campaign feature; (d) interfere with, overload or attempt to gain unauthorised access to the Service. You are responsible for complying with applicable law (incl. data protection and anti-spam law) regarding any data you process and any emails you send through the Service.

5. Customer data and data protection

The customer remains responsible for the content and lawfulness of the data processed in the Service ("Customer Data"). The Provider processes Customer Data as a processor on the customer's behalf in accordance with a Data Processing Agreement (Art. 28 GDPR) and our Privacy Policy.

If the customer uses the Service's optional AI features, the customer provides credentials of an AI provider of its own choosing ("bring your own key"). The contract with the AI provider exists exclusively between the customer and that provider; the customer is responsible for selecting the provider and for the required agreements with it, in particular with regard to data protection. AI-generated drafts must be reviewed by the customer before sending; the Service does not send emails automatically.

6. Fees and subscription

Paid plans are billed according to the plan selected at the time of subscription. Payments are processed by our payment provider Paddle (Paddle.com Market Limited), which acts as Merchant of Record / reseller for the Service.

7. Availability and changes

The Provider strives for high availability but does not guarantee uninterrupted operation. Maintenance, third-party dependencies (in particular Microsoft 365) and force majeure may affect availability. The Provider may further develop and modify the Service, provided the core functions are not materially impaired.

8. Intellectual property

All rights in the Service, including software, design and trademarks, remain with the Provider or its licensors. No rights are granted beyond those expressly stated in these Terms.

9. Warranty and liability

The Provider is liable without limitation for intent and gross negligence and for damages arising from injury to life, body or health. For slight negligence, the Provider is only liable for the breach of essential contractual obligations (cardinal obligations) and limited to the foreseeable, contract-typical damage. Any further liability is excluded. The above limitations also apply to the Provider's legal representatives and vicarious agents.

10. Term and termination

The contract runs for the agreed term and may be terminated in accordance with the agreed notice periods. The right to terminate for good cause remains unaffected. Upon termination, access to the Service ends and Customer Data is handled as described in the Privacy Policy / Data Processing Agreement.

11. Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Exclusive place of jurisdiction for merchants is Konstanz, to the extent legally permissible. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
